Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services provided by Nionto, Inc. ("Nionto", "we", "us"), including Mayhem Monkeys, ModelCoor Lite, and any other product we make available (together, the "Services"). By creating an account or using the Services, you agree to these Terms. If you are agreeing on behalf of a company, you confirm you have authority to bind that company.

1. Your account

You need a Nionto account to use most of the Services. You are responsible for the accuracy of the information you give us, for activity that happens under your account, and for keeping your sign-in links and licence keys confidential. Tell us promptly if you believe your account has been used without your permission. You must be at least 18 years old, or the age of majority where you live.

2. Subscriptions, billing, and price changes

Paid Services are sold as subscriptions billed in advance on a monthly or yearly basis, at the prices shown when you subscribe. Payments are processed by Stripe; we do not store your full card details. By subscribing you authorise us to charge your payment method on a recurring basis until you cancel.

Subscriptions renew automatically at the end of each billing period unless you cancel before the period ends. If we change the price of a subscription, we will give you notice before the change takes effect for you, and you may cancel if you do not accept it. Taxes may be added where required by law. Failed payments may result in suspension of paid features until payment succeeds.

3. Plan entitlements

Some plans include allowances that reset each billing period, such as priority passes or included scans. Unless we say otherwise in writing, allowances that reset do not roll over into the next period and have no cash value. We may adjust the composition of a plan going forward, but we will not reduce what you have already paid for during a period you have already been billed for.

4. Acceptable use and testing authorisation

Mayhem Monkeys performs automated security and quality testing against a target you nominate. You may only submit a target that you own or that you have documented authorisation to test. Submitting a target you are not authorised to test may be unlawful, and you are solely responsible for it. We may require evidence of ownership and may refuse or stop any hunt at our discretion.

Automated testing carries inherent risk. It can generate load, create records, trigger alerts, or in some cases affect the availability of the target. You are responsible for choosing appropriate targets, for taking backups, and for informing your own hosting providers where their rules require it.

5. Your content and your systems

You keep ownership of everything you submit to the Services — your code, your prompts, your targets, and the results produced for you ("Your Content"). You grant us only the limited licence needed to operate the Services for you: to process, store, and display Your Content so we can deliver results to you and support your account.

We do not sell Your Content, and we do not use it to train machine-learning models. ModelCoor Lite is designed so that inference happens on hardware you control; in normal operation your prompts and documents are not transmitted to us at all.

6. Our intellectual property

The Services, including our software, interfaces, documentation, and branding, remain the property of Nionto and its licensors. Subject to these Terms and your payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable right to use the Services for your own internal or business purposes. You may not copy, resell, reverse engineer, or create derivative works from the Services except to the extent that restriction is unenforceable under applicable law.

7. Beta and early-access features

We sometimes label a product or feature as early access, preview, or beta. Those are provided as-is, may change or be withdrawn, and may be less reliable than generally available Services. Where a product is offered under an early-access programme, we will make clear what is and is not available before you pay anything.

8. Third-party services

The Services rely on third parties, including Stripe for payments and infrastructure and email providers for delivery. Your use of those services may be subject to their own terms. We are not responsible for the acts or omissions of third parties, though we choose them with care.

9. Suspension and termination

You may stop using the Services and cancel your subscription at any time from your account area. We may suspend or terminate access if you materially breach these Terms, if we are required to by law, if your use creates a security or legal risk for us or others, or if payment fails and remains unresolved. Where it is reasonable to do so, we will tell you first and give you a chance to put it right.

10. Disclaimers

The Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. Automated testing is not a guarantee of security. Mayhem Monkeys can find issues; it cannot prove that none remain, and it is not a substitute for a qualified human audit, regulatory assessment, or your own judgement.

11. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data. Our total aggregate liability arising out of or relating to the Services is limited to the amounts you paid us for the Services in the twelve months immediately before the event giving rise to the claim. Nothing in these Terms limits liability that cannot lawfully be limited, such as for fraud or death or personal injury caused by negligence.

12. Indemnity

You agree to indemnify and hold Nionto harmless from claims, losses, and reasonable costs arising from your breach of these Terms, from Your Content, or from your submission of a target you were not authorised to test.

13. Changes to these Terms

We may update these Terms as the Services change. If a change is material, we will give reasonable notice, for example by email or a notice in the product, before it takes effect. Continuing to use the Services after a change takes effect means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules, and the parties submit to the exclusive jurisdiction of the courts located there, except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.
